Welcome to Peritum Consultants. These Terms and Conditions govern your use of our services, website, and any interactions with our company. By engaging with our services, you agree to be bound by these terms.

Definitions
"Peritum Consultants", "we", "us", or "our" refers to Peritum Consultants, a South African business consultancy. "Client", "you", or "your" refers to any individual or entity using our services. "Services" refers to CIPC compliance, company registration, advisory services, and any other services we provide.

Scope of Services
We provide CIPC compliance and business advisory services including but not limited to:
- Company registration and amendments
- Annual returns filing
- Director and shareholder changes
- MOI drafting and customization
- Business advisory services
- Tax registration assistance
We act as an intermediary between you and the CIPC. While we strive for 100% accuracy, we cannot guarantee approval by CIPC as final decisions rest with them.

Client Responsibilities
You agree to:
- Provide accurate, complete, and current information
- Cooperate with our requests for documentation
- Review all documents before submission
- Make timely payments as agreed
- Comply with all applicable South African laws

Fees and Payment
Our fees are as quoted unless otherwise agreed in writing. All prices are in South African Rand (ZAR) and exclude VAT unless specified. Payment is due upon acceptance of our quote, unless alternative arrangements are made. We reserve the right to suspend services for non-payment.

Service Turnaround Times
While we aim to provide services within our stated turnaround times, these are estimates and not guarantees. CIPC processing times, public holidays, and incomplete client information may affect turnaround times. We are not liable for delays beyond our reasonable control.

Refunds and Cancellations
Due to the nature of our services, refunds are generally not provided once work has commenced. However:
- CIPC registration fees are non-refundable once submitted
- If you cancel before we begin work, a full refund will be provided
- If we cancel the service, a full refund will be provided
- Disputes regarding refunds must be submitted in writing within 7 days

Limitation of Liability
To the maximum extent permitted by South African law:
- Our total liability for any claim shall not exceed the fees paid for the specific service in question
- We are not liable for indirect, consequential, or special damages
- We are not liable for CIPC decisions, government policy changes, or force majeure events
- We are not legal advisors; for legal advice, consult a qualified attorney

Intellectual Property
All intellectual property developed during our engagement remains our property until full payment is received. Client information and documents remain client property. We may use anonymized data for statistical purposes.

Confidentiality
We maintain strict confidentiality regarding client information, except:
- When required by law
- When necessary to provide our services
- With your explicit consent

Data Protection
We comply with the Protection of Personal Information Act (POPIA). See our Privacy Policy for details on how we handle your personal information.

Amendments
We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the new terms. Material changes will be communicated via email or website notice.

Governing Law
These terms are governed by South African law. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.
